WHAT CREATHORIA IS**

**1.1.** Creathoria is a software-as-a-service (SaaS) platform for **planning the creation of authority content** for content creators, influencers, and brands. With the help of artificial intelligence, the Services help you decide what to publish, why, and when, in order to build authority in your niche.

**1.2.** The features offered, depending on the plan you subscribe to, include:

- registration of **brands** with a briefing (niche, audience, credentials, offer, tone of voice, topics to avoid), **visual identity** (logos, palette, fonts, and reference images), and a **knowledge base** (files, links, notes, and other sources that you upload);
- **analysis of public profiles and posts** of your own profile, of references, and of competitors on the supported social networks, with video transcription, image reading, and dossier generation;
- **conversations with the AI** about brands, analyzed profiles, dossiers, and plans;
- **content plans and calendars**, with themes broken down into pieces for different formats and platforms (for example, short videos, stories, carousels, posts, articles, newsletters, email sequences, LinkedIn, YouTube, and podcast), including image prompt suggestions for use in external tools;
- **reference radar**, which periodically tracks what reference profiles have published;
- **brand guide in PDF**, generated from the project's information;
- **team and content approval**, with roles and an approval workflow for plans and pieces;
- access via the web, the mobile app, and the skill for AI agents.

**1.3. Creathoria does not publish, schedule, or reply to anything on your social networks.** The planned content is delivered to you for review and publication on your own, outside the Services. The publication statuses shown on the platform are reported by you.

**1.4.** Features, supported networks, and limits vary by plan and may be added, modified, or removed at any time (see section 11). Promotional materials may mention features under development; what is available to you is what appears in your account.

* * *

## **2. REGISTRATION, ACCOUNT, AND SECURITY**

**2.1. Age and capacity.** To use the Services you must be **at least 18 years old** and have legal capacity to enter into contracts. If you use the Services on behalf of a company, you declare that you have authority to bind it to these Terms.

**2.2. Ways to access.** You can create and access your account with email and password, an access link sent by email, a verification code, or Google login. We may require additional email verification to protect your account.

**2.3. Truthful information.** You agree to provide truthful, complete, and up-to-date information at registration and for billing, and to keep it updated.

**2.4. Security.** You are responsible for keeping confidential your credentials, the access links and codes sent to your email, and the session tokens of the app and the skill, as well as for all activities carried out in your account. Notify us immediately in case of unauthorized use.

**2.5.** Accounts are personal and non-transferable. It is prohibited to create accounts by automated means, under a false identity, or to circumvent limits, suspensions, or the trial period.

* * *

## **3. PROJECTS, BRANDS, AND TEAM**

**3.1. Projects.** In Creathoria, the subscription, the credits, and the brands belong to a **project** (the "company" or workspace). The person who creates the project is its **owner** and is responsible for the subscription and payments.

**3.2. Roles.** The owner and administrators may invite other people to the project, with roles such as **administrator**, **editor**, and **approver**, whose permissions are described on the platform. Approvers have access only to the brands to which they were invited and to the corresponding approvals.

**3.3. Invitations.** When you invite someone, you give us that person's name and email. If they do not yet have an account, we will create an account linked to the invitation and send a notice by email. You declare that you have a legitimate basis to share this data and to inform the person about the invitation. The invitee becomes subject to these Terms upon accessing the Services.

**3.4. Responsibility for the project.** The owner is responsible for the acts of the members they invite, for the use of the project's credits, and for access management, including removing members who should no longer have access.

**3.5. Agencies.** If you use the Services to serve clients (for example, as an agency or social media manager), you declare that you have authorization from those clients to register their brands, upload their materials, and invite their representatives as approvers, and you are responsible to them for your use of the Services.

* * *

## **4. ANALYSIS OF THIRD-PARTY PROFILES AND POSTS**

**4.1. How it works.** To analyze your own profile, reference and competitor profiles, or a specific post whose link you send us, Creathoria obtains **publicly available information** from those profiles on the supported social networks (for example, username, name, bio, photo, follower counts, captions, images, videos, and public post metrics). This collection is carried out through **third-party providers of public data collection** and, where available, official APIs. We do not access private profiles, messages, or information that requires logging in to the analyzed profile.

**4.2. Permitted purpose.** You may only use these analyses for **research, reference, and strategic planning of your own content**. You agree to:

- analyze only **public** profiles and with a legitimate purpose, preferably professional profiles, brand profiles, creator profiles, or those of public figures;
- **not** use the Services to monitor, stalk, expose, or harass people, nor to build profiles of individuals who do not act publicly;
- **not** copy, republish, or appropriate third-party content (texts, images, videos, scripts, brands) analyzed in the Services, respecting the copyright, image rights, and trademark rights of their owners;
- **not** extract, resell, or redistribute the obtained data in bulk.

**4.3. Limitations.** Public data depends on what each network displays at the time of collection, may be incomplete, outdated, or unavailable, and collection may fail or be limited by the platforms. Analyses of public posts may be cached and reused to serve other users who analyze the same post.

**4.4. Data subject requests.** Owners of analyzed profiles may exercise their rights as set out in the Privacy Policy. We may remove or restrict the analysis of a given profile when we deem it necessary to comply with the law, with platform policies, or to protect third-party rights.

**4.5.** You acknowledge that social networks have their own terms and policies on access to public data and that, at their discretion, the availability of these analyses may change at any time (see section 11).

* * *

## **5. THIRD-PARTY INTEGRATIONS AND PLATFORMS**

**5.1. Optional connections.** When available, you may connect third-party accounts and services (for example, social network profiles or Notion, to import pages into the knowledge base) through official authentication (OAuth). By connecting, you authorize us to access the data permitted by the authorization granted, **exclusively to provide the Services**. You may revoke access at any time by disconnecting the account in Creathoria or in the third-party service's settings.

**5.2. Ownership.** You declare that you are the owner of the connected account or have the express authorization of the owner to connect it.

**5.3. Platform terms.** Use of the integrations and of each network's content analyses is also subject to the terms and policies of the respective platform, which you agree to comply with, including, as applicable:

- **Meta (Instagram and Facebook):** Instagram Terms of Use (https://help.instagram.com/581066165581870), Facebook Terms of Service (https://www.facebook.com/legal/terms), and Meta Platform Terms (https://developers.facebook.com/terms);
- **TikTok:** terms and guidelines available at https://www.tiktok.com/legal;
- **Google and YouTube:** when using features that use the YouTube API Services, where available, you agree to the YouTube Terms of Service (https://www.youtube.com/t/terms) and the Google Privacy Policy (https://policies.google.com/privacy). You may revoke Creathoria's access to your Google data at https://myaccount.google.com/permissions.

**5.4. Limited Use of Google data.** Creathoria's use and transfer of information received from Google APIs (including Google login and the YouTube API Services) adheres to the **Google API Services User Data Policy** (https://developers.google.com/terms/api-services-user-data-policy), including its **Limited Use** requirements.

**5.5. Platform measures.** Third-party platforms may, at their discretion and without notice, change, limit, or revoke access to APIs and data, or apply restrictions to users' accounts. We do not control and are not responsible for these measures.

**5.6. No affiliation.** Creathoria is an independent service and is **not affiliated with, sponsored by, endorsed by, or administered by** Meta Platforms, Inc., Google LLC, TikTok, Notion Labs, Inc., or any other third-party platform. The brands mentioned belong to their respective owners.

* * *

## **6. CONTENT GENERATED BY ARTIFICIAL INTELLIGENCE**

**6.1.** Creathoria uses artificial intelligence models provided by third parties to analyze content, transcribe videos, and generate dossiers, chat responses, plans, content pieces, summaries, and image prompts ("Generated Content").

**6.2. AI limitations.** You acknowledge that AI is a technology subject to errors and that Generated Content may contain **inaccurate, outdated, incomplete, or inappropriate information, or content similar to third-party content**, including incorrect transcriptions and interpretations of videos and images.

**6.3. Mandatory review.** Generated Content is a **suggestion to support your work**. Before publishing or using any Generated Content, you must review it, verify facts, data, and figures, and adapt it to your reality. On regulated or sensitive topics (such as health, nutrition, finance, investments, law, advertising of regulated products, and advertising to children), you must observe the applicable professional and advertising rules and, where necessary, seek guidance from a qualified professional.

**6.4. Content safety rules.** We apply rules so that the AI avoids misinformation, attacks on people or groups, promises of results in health or money, and invented testimonials. These rules reduce risks but do not replace your review.

**6.5. No guarantee of results.** We do not guarantee follower growth, reach, engagement, sales, authority, or any other result arising from the use of the Services or the publication of Generated Content.

**6.6. Responsibility for publication.** Everything you publish, whether based on Generated Content or not, is published **in your name and under your sole responsibility** before your audience, third parties, regulators, and the platforms, including regarding the labeling of advertising and of AI-produced content when required by law or by the platforms.

**6.7. External tools.** Image prompts and other materials prepared for use in third-party tools are used at your own expense and are subject to the terms of those tools.

* * *

## **7. YOUR CONTENT AND INTELLECTUAL PROPERTY**

**7.1. Your Content.** "Your Content" is everything that you or the members of your project upload or configure in the Services: briefings, logos, images, fonts, files and documents, links, notes, chat messages, ratings, comments, and adjustments to plans and pieces. **You retain all rights to Your Content.**

**7.2. License to operate the Services.** You grant us a non-exclusive, royalty-free, worldwide license, for the period necessary, to host, store, reproduce, process, and transmit Your Content, including to AI providers and other subprocessors, **only to the extent necessary to provide, maintain, protect, and improve the Services** for you, in accordance with the Privacy Policy.

**7.3. Generated Content.** As between you and Creathoria, and to the extent permitted by law, Generated Content produced from your requests belongs to you, who may use it freely, including for commercial purposes, subject to sections 4, 6, and 8. Because AI may generate similar results for different users, we do not guarantee exclusivity, originality, or registrability of Generated Content.

**7.4. Third-party rights.** You declare that you have the necessary rights and authorizations over Your Content, including copyright, trademark, and image rights of the people who appear in the materials uploaded, and that the use of those materials in the Services does not violate third-party rights or the law.

**7.5. Our intellectual property.** The software, code, databases, design, texts, the Creathoria brand, and other elements of the Services (except Your Content and Generated Content) belong to us or to our licensors. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

**7.6. Suggestions.** If you send us ideas, suggestions, or feedback about the Services, we may use them freely, without any obligation of compensation.

* * *

## **8. PROHIBITED ACTIVITIES**

You agree not to:

- use the Services for unlawful purposes or to create, plan, or disseminate unlawful, defamatory, discriminatory, hateful, harassing, or violent content, sexual exploitation, misinformation, fraud, scams, pyramid schemes, or misleading advertising;
- use the Services in violation of sections 4 and 6 or of the terms of third-party platforms;
- upload content that violates copyright, trademark, image, privacy, or other third-party rights;
- upload third parties' sensitive personal data, data of children and adolescents, or payment data to the knowledge base, the chat, or other fields of the Services without an adequate legal basis;
- attempt to access accounts, projects, data, or systems without authorization, or impersonate another person;
- circumvent or interfere with plan limits, credit consumption, the trial period, or security or fraud-prevention measures;
- systematically extract data from the Services, use unauthorized bots or automations (except the official skill and the features we make available), or overload the infrastructure;
- reverse engineer, decompile, or copy the software of the Services, except where permitted by law;
- resell, sublicense, or make the Services available to third parties outside your project, except with written authorization;
- use the Services to develop a competing product or to train AI models with the outputs of the Services;
- send viruses, malware, or any malicious code;
- abuse the support channels or submit false reports.

* * *

## **9. MOBILE APP AND SKILL FOR AI AGENTS**

**9.1. Mobile app.** The Creathoria app allows you to access your account, receive notifications, and share with Creathoria posts opened in other apps. Features such as camera, gallery, and notifications are only used with your permission on the device. Use of the app is also subject to the terms of the app store from which it was downloaded. Plans and credits are purchased through the web platform.

**9.2. Skill for AI agents.** Creathoria offers a skill that allows you to use the Services from third-party AI agents chosen by you (for example, Claude, Codex, Gemini CLI, or Cursor). When using the skill:

- access is authorized by a code sent to your email and generates a session token with restricted permissions, stored on your computer; you are responsible for protecting it;
- the Creathoria information that the agent queries or displays is also processed by the **provider of the agent you chose**, under that provider's terms and privacy policy, for which we are not responsible;
- the actions performed by the agent in your account (such as creating brands, analyzing profiles, and generating plans) consume credits as if performed on the platform and are your responsibility;
- the skill may update itself automatically from our servers, with integrity verification.

* * *

## **10. PLANS, SUBSCRIPTION, TRIAL PERIOD, AND CREDITS**

**10.1. Plans.** The Services are offered by subscription, in plans with prices, limits (such as number of brands, users, approvers, files and sources per brand, and analyzed networks), features, and a monthly allowance of credits described on the pricing page and in your account. The subscription grants the right to use the Services while it is active and does not transfer ownership of the software.

**10.2. Billing cycle.** The subscription is recurring, **monthly** or **annual**. The annual plan is charged in full at the beginning of the period. Billing is automatic to the registered payment method until cancellation.

**10.3. Trial period.** Upon creation of the first project, we may offer a free trial period (currently 14 days, with a reduced amount of credits), which requires registering a credit card. **At the end of the trial, the subscription is automatically converted into the chosen plan and the first charge is made to the registered card**, unless you cancel beforehand. You may activate the paid subscription before the end of the trial. During the trial, the purchase and use of credit packs may be unavailable. The trial is limited to one per person and does not apply to additional projects.

**10.4. Payment.** Payments are processed by **Asaas**, a partner payment institution, and you are also subject to its terms. Card data is transmitted directly to Asaas for tokenization; Creathoria does not store the full card number or the card security code. To issue the charge, we may request the holder's data, such as name, CPF (Brazilian individual taxpayer ID) or CNPJ (Brazilian company taxpayer ID), phone number, and address. Charges are made in **Brazilian reais (BRL)**; when a price is displayed in another currency, the amount is converted into reais at the time of the charge, based on the PTAX exchange rate of the Central Bank of Brazil plus an exchange margin, and the final amount in reais is disclosed before confirmation.

**10.5. Credits.** AI features consume **credits**, according to the table displayed in the Services.

- **Monthly allowance:** each plan includes an allowance of credits that is renewed every subscription month (including on the annual plan). Allowance credits **do not accumulate** into the following month.
- **Credit packs:** you may purchase one-off packs. Purchased credits and bonus credits **do not expire**, but can only be used while there is an active subscription.
- **Order of consumption:** first the month's allowance, then purchased credits.
- **Usage-based charging:** each generation or regeneration (including repeating an analysis or redoing a piece) consumes credits. Attempts that fail due to a technical error are not charged.
- **Balance depleted:** with no credits, AI actions are blocked until the allowance renews or a pack is purchased; the rest of the platform remains accessible. **There is no automatic charge for excess usage**, unless you enable automatic purchase.
- **Automatic purchase:** it is optional and comes disabled. If you enable it, you authorize the purchase of the chosen pack whenever the balance runs out, up to the limit of purchases per cycle that you set.
- Credits have no monetary value, are not refundable in cash (except in the case of clause 10.8), and cannot be transferred between projects.

**10.6. Upgrade and downgrade.** A plan **upgrade** takes effect immediately, with a charge prorated to the remaining period. A **downgrade** takes effect from the next renewal (on the annual plan, at the end of the contracted period), with no refund of the difference. After a downgrade, materials that exceed the new limits remain, but new uploads and features outside the new plan are blocked.

**10.7. Cancellation.** You may cancel the subscription at any time through the platform. Cancellation prevents new charges and **takes effect at the end of the period already paid**, until which access remains active. There is no prorated refund for partially used periods, subject to clause 10.8.

**10.8. Right of withdrawal.** Under article 49 of the Consumer Defense Code, you may withdraw from the purchase within **7 (seven) calendar days from the first charge** of the subscription, or from the purchase of a credit pack, with a full refund of the amount paid, by requesting it at **contato@creathoria.com**. When withdrawing from the purchase of a pack, its credits are removed from the balance; if part has already been used, the refund will be proportional to the unused credits, to the extent permitted by law. Outside this case and the others provided by law, there is no refund.

**10.9. Default.** If a payment is not approved, we will retry the charge in the following days. If non-payment persists, access to the project may be **blocked** and, after approximately 30 days, the subscription may be **canceled**. Reactivation depends on settling the outstanding amounts.

**10.10. Changes to prices and plans.** We may change prices, plans, limits, the credit table, and commercial conditions. Price changes for active subscriptions take effect from the next renewal, with prior notice by email or on the platform. If you do not agree, you may cancel before the renewal.

**10.11. Coupons and referrals.** Coupons and promotional discounts have the conditions stated in the offer, may be discontinued at any time, and do not create vested rights. Referral discounts and partner commissions follow the Partner Program Terms.

**10.12. Taxes.** Customers outside Brazil are responsible for any taxes due in their jurisdiction on the purchase of the Services.

* * *

## **11. AVAILABILITY, CHANGES, AND RELIANCE ON THIRD PARTIES**

**11.1.** We strive to keep the Services available and working well, but we do not guarantee uninterrupted or error-free operation. Interruptions may occur for maintenance, updates, or technical failures.

**11.2.** The Services depend on third parties over which we have no control, such as AI providers, public data collection providers, social networks, cloud infrastructure, email, and payments. Changes, limitations, or unavailability of these third parties may affect or interrupt features, including the analysis of a given social network.

**11.3.** We may change, add, or remove features at any time. If we remove an essential feature of your plan during an already paid period, we will seek to offer an alternative or a proportional credit, or you may cancel the subscription.

* * *

## **12. SUSPENSION AND TERMINATION**

**12.1. By you.** You may cancel the subscription (clause 10.7) and request the deletion of your account through the app, the page https://creathoria.com/legal/remove-data, or the contact email. The effects of deletion on your data are described in the Privacy Policy. If you are the owner of a project with other members, deleting your account terminates the project's subscription and blocks access to it.

**12.2. By us.** We may suspend or terminate your access, in whole or in part, if you violate these Terms, the law, or the terms of third-party platforms, if there is reasonable suspicion of fraud or abusive use, for non-payment, or by legal requirement. When possible and appropriate, we will give prior notice and an opportunity to cure. In case of serious violation, suspension may be immediate.

**12.3.** Accounts terminated for violation may not be recreated by the same holder without our authorization.

**12.4.** Clauses that, by their nature, should survive termination (such as intellectual property, limitation of liability, indemnification, and venue) remain valid.

* * *

## **13. DISCLAIMER OF WARRANTIES**

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DO NOT WARRANT THAT THE GENERATED CONTENT OR THE ANALYSES ARE ACCURATE, COMPLETE, ORIGINAL, OR SUITABLE FOR A PARTICULAR PURPOSE, NOR THAT USE OF THE SERVICES WILL PRODUCE AUDIENCE, AUTHORITY, OR REVENUE RESULTS. NOTHING IN THESE TERMS EXCLUDES WARRANTIES THAT CANNOT BE EXCLUDED UNDER CONSUMER PROTECTION LEGISLATION.

* * *

## **14. LIMITATION OF LIABILITY**

**14.1.** To the maximum extent permitted by law, we are not liable for: (i) decisions made based on Generated Content or the analyses; (ii) content published by you or by the members of your project; (iii) measures taken by third-party platforms; (iv) lost profits, loss of opportunities, of followers, or of revenue; and (v) indirect or consequential damages.

**14.2.** To the maximum extent permitted by law, our total liability to you, for any cause, is limited to the **amount actually paid by you to Creathoria in the 12 (twelve) months preceding the event** that gave rise to the claim.

**14.3.** The limitations in this section do not apply in cases of willful misconduct or gross negligence, nor do they exclude consumer rights that cannot be limited by contract.

* * *

## **15. INDEMNIFICATION**

You agree to indemnify and hold harmless Creathoria, its partners, employees, and associates from claims, losses, and expenses (including reasonable attorneys' fees) brought by third parties and arising from: (i) violation of these Terms or the law by you or by the members of your project; (ii) Your Content; (iii) content that you publish; (iv) use of third-party profile analyses in breach of section 4; or (v) violation of third-party rights, including intellectual property, image, and data protection.

* * *

## **16. PRIVACY AND DATA PROTECTION**

**16.1.** The processing of personal data by Creathoria is governed by the [Privacy Policy](/en/privacy-policy).

**16.2.** As to the personal data of third parties that you enter into the Services (for example, in briefings, the knowledge base, the chat, or when inviting members), you act as the **controller** of that data and Creathoria processes it on your behalf, to provide the Services. You are responsible for having an adequate legal basis and for informing the data subjects, under the Brazilian General Data Protection Law (Law No. 13,709/2018 — LGPD) and other applicable rules.

**16.3.** We do not sell personal data and do not use Your Content for third-party advertising.

* * *

## **17. ELECTRONIC COMMUNICATIONS**

You agree to receive electronic communications related to your account and the Services, such as access codes, billing notices, credit consumption, approvals, invitations, reference radar summaries, and usage follow-up messages, by email, in-platform notifications, and push notifications. Marketing communications may be canceled at any time through the link in the email itself. Contracts, notices, and records provided electronically have the same validity as written documents.

* * *

## **18. CHANGES TO THESE TERMS**

We may update these Terms to reflect changes in the Services, the law, or our practices. The "Last updated" date will indicate the version in force. In case of a material change, we will notify you by email or on the platform with reasonable advance notice. Continued use of the Services after the new version takes effect means agreement; if you do not agree, you may cancel the subscription and close your account.

* * *

## **19. GOVERNING LAW AND VENUE**

These Terms are governed by the laws of the Federative Republic of Brazil. The venue of the judicial district (comarca) of Pará de Minas/MG is elected to settle disputes arising from these Terms, **without prejudice to the consumer's right to bring the action in the courts of their place of residence**. Before resorting to the courts, the parties agree to try to resolve the dispute amicably, by written notice to the contact email, for at least 30 (thirty) days, without prejudice to access to consumer protection bodies or to the consumidor.gov.br platform.

* * *

## **20. GENERAL PROVISIONS**

These Terms, the Privacy Policy, the Partner Program Terms (where applicable), and the conditions displayed at the time of purchase form the entire agreement between you and Creathoria regarding the Services. Tolerance of non-compliance with any clause does not imply waiver. If any provision is held invalid, the remaining provisions remain in effect. We may assign this contract in the event of corporate reorganization, merger, or sale of the business, maintaining the conditions provided herein. These Terms do not create an employment, partnership, representation, or agency relationship between the parties. We are not liable for delays or failures resulting from acts of God or force majeure.

* * *

## **21.
